ROBUR HIRE TERMS AND CONDITIONS

Please read the following terms and conditions and complete the form at the foot of this page prior to commencing your hire.

1.               Definitions

  • Contract” means the terms and conditions contained herein, together with any quotation, Hire form, invoice or other document or amendments expressed to be supplemental to this
  • ROBUR” shall mean ROBUR HIRE, its successors and assigns or any person acting on behalf of and with the authority of ROBUR ATTACHMENTS LIMITED.
  • Client” means the person/s, entities or any person acting on behalf of and with the authority of the Client requesting ROBUR to provide the services as specified in any proposal, quotation, order, invoice or other documentation, and:
    • if there is more than one Client, is a reference to each Client jointly and severally; and
    • if the Client is a partnership, it shall bind each partner jointly and severally; and
    • if the Client is a part of a trust, shall be bound in their capacity as a trustee; and
    • includes the Client’s executors, administrators, successors and permitted
  • Equipment” shall mean all Equipment supplied on hire by ROBUR to the Client, the Client’s requested from time to time, and:
    • the Equipment shall be as described on the invoices, quotation, hire agreement, or any other work authorisation forms as provided by ROBUR to the Client; and
    • includes any transport of the Equipment or anything else done in relation to supplying the Equipment (“Services”) any parts, accessories and/or consumables supplied by ROBUR to the Client, either separately or deposited incidentally by ROBUR in course of it conducting, or supplying to the Client, the Equipment; and
    • where the context so permits the terms “Equipment’ or Services’ shall be interchangeable for the
  • Hire Period” means the term of the hire of the Equipment as specified on any invoices, quotation, authority to hire, or any other forms as provided by ROBUR and which may include weekends and/or public holidays, and continues until the hire contract is terminated in accordance with these terms and conditions or such further period as agreed by the parties in
  • Minimum Hire Period” shall mean the Minimum Hire Period as described on the invoices, quotation, authority to hire, or any other forms as provided by ROBUR to the
  • Site” means the location/s at which the Equipment is to be
  • Confidential Information” means information of a confidential nature whether oral, written or in electronic form including, but not limited to, this Contract, either party’s intellectual property, operational information, know-how, trade secrets, financial and commercial affairs, contracts, client information (including but not limited to, “Personal Information” such as: name, address, D.O.B, occupation, driver’s license details, electronic contact (email, Facebook or Twitter details), medical insurance details or next of kin and other contact information (where applicable), previous credit applications, credit history) and pricing
  • Cookies” means small files which are stored on a user’s computer. They are designed to hold a modest amount of data (including Personal Information) specific to a particular client and website, and can be accessed either by the web server or the client’s computer. If the Client does not wish to allow Cookies to operate in the background when using ROBUR’s website, then the Client shall have the right to enable / disable the Cookies first by selecting the option to enable / disable provided on the website, prior to making enquiries via the

 

  • Insurance Excess” means an amount equal to ten percent (10%) of the cost to repair or replace the Equipment, capped at two thousand dollars ($2,000.00). whichever, is greater on all
  • Charges” shall mean the cost of the hire (including any Goods and Services Tax (GST) where applicable) of the Equipment as agreed between ROBUR and the Client subject to clause 5 of this

 

2.              Acceptance

  • The Client is taken to have exclusively accepted and is immediately bound, jointly and severally, by these terms and conditions if the Client places an order for or accepts Delivery of any
  • In the event of any inconsistency between the terms and conditions of this Contract and any other prior document or schedule that the parties have entered into, the terms of this Contract shall
  • Any amendment to the terms and conditions contained in this Contract may only be amended in writing by the consent of both
  • The Client acknowledges that the supply of Equipment on credit shall not take effect until the Client has completed a credit application with ROBUR and it has been approved with a credit limit established for the
  • In the event that the supply of Equipment request exceeds the Client’s credit limit and/or the account exceeds the payment terms, ROBUR reserves the right to refuse
  • Electronic signatures shall be deemed to be accepted by either party providing that the parties have complied with Section 226 of the Contract and Commercial Law Act 2017 or any other applicable provisions of that Act or any Regulations referred to in that
  • None of the Equipment shall be sublet or cross-hired by the Client. The Client shall not assign or transfer its interest in the contract, or part with possession of all, or any portion, of the Equipment, without the prior written consent of ROBUR, which may be arbitrarily
  • The Client acknowledges:
    • “good working order” means, in respect to the Equipment, that:
      • the Equipment is in a good working condition and is reasonably clean throughout; and
      • the Equipment has been properly maintained and serviced in accordance with the original manufacturer’s recommendations and requirements.
    • ROBUR will:
      • provide the Equipment in good working order; and
      • allow the Client exclusive use of the Equipment during the Hire
    • These terms and conditions may be meant to be read in conjunction with ROBUR’s Damage Waiver Agreement and if there are any inconsistencies between the two documents then the terms and conditions contained therein shall

 

3.               Errors and Omissions

  • The Client acknowledges and accepts that ROBUR shall, without prejudice, accept no liability in respect of any alleged or actual error(s) and/or omission(s):
    • resulting from an inadvertent mistake made by ROBUR in the formation and/or administration of this Contract; and/or
    • contained in/omitted from any literature (hard copy and/or electronic) supplied by ROBUR in respect of the Equipment hire and/or/services.
  • In the event such an error and/or omission occurs in accordance with clause 1, and is not attributable to the negligence and/or wilful misconduct of ROBUR; the Client shall not be entitled to treat this Contract as repudiated nor render it invalid.

 

4.               Change in Control

  • The Client shall give ROBUR not less than fourteen (14) days prior written notice of any proposed change of ownership of the Client and/or any other change in the Client’s details (including but not limited to, changes in the Client’s name, address, contact phone or fax number/s, change of trustees, or business practice). The Client shall be liable for any loss incurred by ROBUR as a result of the Client’s failure to comply with this

 

5.               Charges and Payment

  • At ROBUR’s sole discretion the Charges shall be either;
    • as indicated on invoices provided by ROBUR to the Client in respect of Equipment supplied; or
    • ROBUR’s current Charges, at the date of Delivery of the Equipment, according to ROBUR’s current price list; or
    • ROBUR’s quoted price (subject to clause 2) which shall be binding upon ROBUR provided that the Client shall accept ROBUR’s quotation in writing within thirty (30) days.
  • ROBUR reserves the right to change the Charges;
    • if a variation to ROBUR’s quotation is requested; or
    • in the event of increases to ROBUR in the cost of labour or materials, or fluctuations in currency exchange rates, which are beyond ROBUR’s control.
  • Variations will be charged for on the basis of ROBUR’s quotation, and will be detailed in writing, and shown as variations on ROBUR’s invoice. The Client shall be required to respond to any variation submitted by ROBUR within ten (10) working days. Failure to do so will entitle ROBUR to add the cost of the variation to the Charges.
  • At ROBUR’s sole discretion, a deposit (in the form of a bond) is payable for Equipment provided on hire and will be refunded if the Equipment is returned in good working order. If the Equipment returned is unclean, missing items, stained, or damaged in any way, the bond will be retained by ROBUR. The refund will be processed within twenty-eight (28) days of the Recovery date of the Equipment, whichever occurs
  • Time for payment for the Equipment being of the essence, the Charges will be payable by the Client on the date/s determined by ROBUR, which may be:
    • Hire Charges which may be charged at either the:
      • Daily Rate – means twenty-four (24) hours (minimum usage time six (6) hours): if the weekly rate is less than the accumulated daily rate, then the weekly hire rate will apply;
      • Weekly Rate – means seven (7) days (minimum usage time thirty (35) hours);
      • Monthly Rate – means a calendar month (minimum usage time one hundred and twenty (120) hours).

Hire Charges are applicable for the duration of the Hire Period, no allowance whatsoever can be made for time during which the Equipment is not in use for any reason.

  • on Delivery of the Equipment;
  • before Delivery of the Equipment;
  • by way of instalments in accordance with ROBUR’s payment schedule;
  • payment for approved Clients shall be due twenty (20) days following the end of the month in which a statement is posted to the Client’s address or address for notices;
  • the date specified on any invoice or other form as being the date for payment; or
  • failing any notice to the contrary, the date which is seven (7) days following the date of any invoice given to the Client by
  • ROBUR may in its discretion allocate any payment received from the Client towards any invoice that ROBUR determines and may do so at the time of receipt or at any time afterwards. On any default by the Client ROBUR may re-allocate any payments previously received and allocated. In the absence of any payment allocation by ROBUR, payment will be deemed to be allocated in such manner as preserves the maximum value of ROBUR’s Purchase Money Security Interest (as defined in the PPSA) in the
  • Payment may be made by cash, cheque, bank cheque, electronic/on-line banking, credit card (a surcharge may apply per transaction), or by any other method as agreed to between the Client and
  • Receipt by ROBUR of any form of payment other than cash shall not be deemed to be payment until that form of payment has been honoured, cleared or recognised and until then ROBUR’s ownership or rights in respect of this contract shall
  • The Client shall not be entitled to set off against, or deduct from the Charges, any sums owed or claimed to be owed to the Client by ROBUR nor to withhold payment of any invoice because part of that invoice is in
  • Unless otherwise stated the Charges does not include GST. In addition to the Charges, the Client must pay to ROBUR an amount equal to any GST ROBUR must pay for any supply by ROBUR under this or any other agreement for the hire of the Equipment. The Client must pay GST, without deduction or set off of any other amounts, at the same time and on the same basis as the Client pays the Charges. In addition, the Client must pay any other taxes and duties that may be applicable in addition to the Charges except where they are expressly included in the

 

6.               Delivery and Recovery

  • As agreed by ROBUR and at ROBUR’s sole discretion:

 

  • delivery of the Equipment (“Delivery”) shall take place when either the Client collects the Equipment from ROBUR premises, or ROBUR (or ROBUR’s nominated carrier) delivers the Equipment to the Site;
  • recovery of the Equipment (“Recovery”) will be completed when the Equipment has been either collected from the Site and/or returned to ROBUR’s
  • Unless otherwise agreed between the parties in writing, ROBUR shall provide (as the Client’s agent) transport of the Equipment to and from the Site, and transport charges (including loading equipment):
    • shall, at the sole discretion of ROBUR, be is in addition to, the Charges, unless otherwise specified; and
    • are quoted on the basis of Delivery and/or Recovery of the Equipment of a full load. Small loads, or part loads, will incur additional Charges; and
    • allow for a maximum of ninety (90) minutes loading or unloading time per visit to the Site during ROBUR’s normal business hours. Delivery and/or Recovery of the Equipment (including any waiting time) outside ROBUR’s normal business hours will incur additional charges.
  • ROBUR shall not be responsible for delay or non-completion of the job for which the Equipment is hired resulting from an act beyond the reasonable control of ROBUR, including but not limited to, industrial action, strikes, lockouts, epidemics, fire, war, government actions, commotion, riot, floods or inclement
  • The Client shall ensure that ROBUR has clear and free access to the nominated address at all times to enable them to make Delivery. ROBUR shall not be liable for any loss or damage to the property (including, without limitation, damage to pathways, driveways and concreted or paved or grassed areas), unless due to the negligence of
  • Any time specified by ROBUR for Delivery/Recovery of the Equipment is an estimate only and ROBUR will not be liable for any loss or damage incurred by the Client as a result of Delivery/Recovery being late. However both parties agree that they shall make every endeavour to enable the Equipment to be supplied and returned at the time and place as was arranged between both parties. In the event the Client is unable to accept Delivery and/or Recovery as arranged solely due to any action or inaction of the Client, or there are any delays due to free and clear access to the Site not being available, then ROBUR shall be entitled to charge all additional costs involved with the redelivery and/or storage, or subsequent attempts at Recovery, as applicable, and all Charges lost as a direct result of the Equipment being

 

7.              Use, Operation and Maintenance of the Equipment

  • Hire Period
    • The Hire Period shall:
      • commence from the time the Equipment departs from ROBUR’s premises and will continue until the return of the Equipment to ROBUR’s premises, and/or until the expiry of the Minimum Hire Period, whichever last occurs. Additional charges will apply in the event that the Client requests an extension of the Hire Period;
      • be based on a daily, weekly (being seven (7) days) or monthly (calendar month)
    • The date upon which the Client advises of termination shall in all cases be treated as a full day’s
    • No allowance whatever can be made for time during which the Equipment is not in use for any reason. In the event of Equipment breakdown provided the Client notifies ROBUR immediately, hiring Charges will not be payable during the time the Equipment is not working, unless the condition is due to negligence or misuse on the part of or attributable to the
    • Off-hire receipts will only be issued when the Equipment has been either collected by ROBUR, or returned to ROBUR’s
  • Extension of the Hire Period
    • If, and only if not later than seventy-two (72) hours before the expiry of the Hire Period, the Client gives notice to ROBUR requesting an extension of the Hire Period, such extension is, if any, subject to ROBUR’s agreement, the availability of the Equipment and the following conditions:
      • the Charges and all other payments due under this Contract having been received by ROBUR in full as at the expiry of the Hire Period;
      • there is no breach of the Client’s covenants, the Hire Period shall be extended for the period specified between the parties, commencing on the day following the date of expiration of the Hire Period and at the Charges, as varied, on the same terms and conditions of this Contract, except for the insertion of the extended
    • Access and Inspection
      • The Client must upon being given reasonable notice by ROBUR, use its best endeavours to procure that ROBUR and its representatives gain entry to the Site to inspect, maintain and/or repair the Equipment or to repossess the
    • Client’s Obligations
      • The Client shall:
        • satisfy itself at commencement that the Equipment is suitable for its purposes;
        • notify ROBUR immediately by telephone of the full circumstances of any mechanical breakdown or accident. The Client is not absolved from the requirements to safeguard the Equipment by giving such notification;
        • maintain the Equipment as is required by ROBUR (including, but not limited to, maintaining (where applicable) water, oil and fluid levels (with only ROBUR approved fuels and lubricating oils) and tyre pressures);
        • operate the Equipment safely, strictly in accordance with the law, only for its intended use, and in accordance with any manufacturer’s instruction whether supplied by ROBUR or posted on the Equipment;
        • ensure that:
          • all persons operating the Equipment are suitably instructed in its safe and proper use and where necessary hold a current Certificate of Competency and/or are fully licensed to operate the Equipment and shall provide evidence of the same to ROBUR upon request;
          • the operator of any Equipment is not under the influence of alcohol or any drug that may impair their ability to operate the Equipment;
          • all reasonable care is taken by the driver in handling and/or parking the Equipment and that the Equipment is left locked and/or securely stored when not in

 

  • be liable for any parking or traffic infringement, impoundment, towage and storage costs incurred during the Hire Period and will supply relevant details as required by the Police and/or ROBUR relating to any such matters or
  • comply with all workplace health and safety laws relating to the Equipment and its operation;
  • on termination of the hire, deliver the Equipment complete with all parts and accessories, clean and in good working order as delivered, fair wear and tear accepted, to ROBUR;
  • refuel the Equipment prior to its return from hire. In the event the Equipment needs to be refuelled upon its return from hire then the costs of refuelling shall be charged to the Client in addition to the costs of the Equipment hire;
  • keep the Equipment in their own possession and control and shall not assign the benefit of the hire Contract nor be entitled to lien over the Equipment;
  • employ the Equipment solely in its own work and shall not permit the Equipment of any part thereof to be used by any other party for any other work;
  • indemnify and hold harmless ROBUR in respect of all claims arising out of the Client’s use of the
  • The Client shall not:
    • alter or make any additions to the Equipment including but without limitation altering, make any additions to, defacing or erasing any identifying mark, plate or number on or in the Equipment or in any other manner interfere with the Equipment;
    • exceed the recommended or legal load and capacity limits of the Equipment;
    • use or carry any illegal, prohibited or dangerous substance in or on the Equipment;
    • fix any of the Equipment in such a manner as to make it legally a fixture forming part of any
  • Immediately on request by ROBUR the Client will pay:
    • the new list price of any Equipment that is for whatever reason destroyed, written off or not returned to ROBUR;
    • all costs incurred in cleaning the Equipment;
    • all costs of repairing any damage caused by:
      • the ordinary use of the Equipment;
      • the negligence of the Client or the Client’s agent;
      • vandalism, or (in ROBUR’s reasonable opinion) in any way whatsoever other than by the ordinary use of the Equipment by the Client.
    • the cost of fuels and consumables provided by ROBUR and used by the Client;
    • any:
      • lost hire fees ROBUR would have otherwise been entitled to for the Equipment, under this, or any other hire agreement;
      • costs incurred by ROBUR in picking up and returning the Equipment to ROBUR’s premises if the Client does not return the Equipment to ROBUR’s premises or any pre-agreed pickup location when it was originally agreed that the Client would do so;
      • insurance excess payable in relation to a claim made by either the Client or ROBUR in relation to any damage caused by, or to, the hire Equipment whilst the same is hired by the Client and irrespective of whether charged by the Client’s insurers or ROBUR’s.
    • subject to clause 9, any insurance excess payable in relation to a claim made by the Client in relation to any damage caused by, or to, the Equipment whilst the same is hired by the

 

8.               Condition of Equipment and Inspections

  • The Equipment will be inspected by a representative of each party to establish the general condition thereof and a statement of condition of the Equipment will be prepared:
    • immediately prior to the commencement of this Contract; and
    • as soon as practicable following termination of this
  • The Client acknowledges and agrees that they will, at their own cost, reinstate the Equipment to its condition as specified in the pre-hire inspection, normal wear and tear

 

9.              Insurance

  • The Client hires the Equipment at the Client’s own risk and indemnifies ROBUR against any and all loss in respect of or damage to the Equipment, including any consequential loss.
  • Where a Insurance Waiver is not accepted and the Client chooses to self insure, the Client accepts full responsibility for the safekeeping of the Equipment and must effect insurance (and maintain any such insurance) with an insurer acceptable to ROBUR in the name of ROBUR  and the Client for their respective rights and interests whilst the Equipment is at the Site, or in transit between the Site and ROBUR ’s premises in respect of the following:
    1. the full replacement value of the Equipment against such risk as ROBUR may nominate, or in the absence of such nomination, against loss or damage by theft, fire, accident and such other risks as are insured against by prudent persons engaged in a similar business to that of the Client, excluding liability for claims being the subject of compulsory third party injury insurance on vehicles registered by ROBUR ;
    2. a policy of employer’s indemnity insurance and works compensation insurance in respect of all employees of the Client in respect of damage or loss caused by the use, maintenance, repair and storage of the Equipment;
    3. public risk liability (at least ten million dollars ($10m)) and product defect liability, and any other such insurance in support of the indemnities contained in this Contract, and must in respect of any policy of insurance, deliver to ROBUR a copy of the policy and promptly pay all premiums and stamp duty payable in respect of the policy.
  • The Client agrees with ROBUR that the use of Equipment carries with it dangers and risks of injury, and the Client agrees to accept all dangers and

 

  • ROBUR will maintain current insurance policies in respect of the Equipment to its full insurable
  • In the event that the Equipment provided by ROBUR is the subject of an insurance claim made by ROBUR, as a result of any action or inaction of the Client, then the Client accepts full liability for the value of Equipment (or part thereof) that is lost, stolen or damaged in any way any during the entire rental term, irrespective of whether the insurance claim is

 

 

10.            Risk

  • ROBUR retains ownership in the Equipment nonetheless all risk for the Equipment passes to the Client on
  • The Client shall be solely responsible for any loss or damage to the Equipment, including (without limiting the generality of the foregoing) damage done by corrosion, rust, oxidation, and chemical reactions of every nature and kind
  • The Client acknowledges and agrees that:
    • the Client has satisfied themselves as to the condition and suitability of the Equipment, and its fitness for the Client’s purposes;
    • the Client has, prior to signing this Contract, examined the Equipment and satisfied themselves as to its compliance with the specifications and validity of the warranties of the manufacturer or ROBUR;
    • once satisfied with the condition and suitability of the Equipment, the Client must sign ROBUR’s pre-hire check

 

11.           Title

  • The Equipment is and will at all time remain the absolute property of ROBUR, and must return the Equipment upon request to do
  • If the Client fails to return the Equipment to ROBUR then ROBUR or ROBUR’s agent may (as the invitee of the Client) enter upon and into land and premises owned, occupied or used by the Client, or any premises where the Equipment is situated and take possession of the Equipment, without being responsible for any damage thereby
  • The Client is not authorised to pledge ROBUR’s credit for repairs to the Equipment or to create a lien over the Equipment in respect of any repairs.

 

12.           Personal Property Securities Act 1999 (“PPSA”)

  • Upon assenting to these terms and conditions in writing the Client acknowledges and agrees that:
    • these terms and conditions constitute a security agreement for the purposes of the PPSA; and
    • a security interest is taken in all Equipment and/or collateral (account) – being a monetary obligation of the Client to ROBUR for services – that have previously been supplied and that will be supplied in the future by ROBUR to the
  • The Client undertakes to:
    • sign any further documents and/or provide any further information (such information to be complete, accurate and up-to-date in all respects) which ROBUR may reasonably require to register a financing statement or financing change statement on the Personal Property Securities Register;
    • indemnify, and upon demand reimburse, ROBUR for all expenses incurred in registering a financing statement or financing change statement on the Personal Property Securities Register or releasing any Equipment charged thereby;
    • not register, or permit to be registered, a financing statement or a financing change statement in relation to the Equipment and/or collateral (account) in favour of a third party without the prior written consent of
  • ROBUR and the Client agree that nothing in sections 114(1)(a), 133 and 134 of the PPSA shall apply to these terms and
  • The Client waives its rights as a debtor under sections 116, 120(2), 121, 125, 126, 127, 129, and 131 of the
  • Unless otherwise agreed to in writing by ROBUR, the Client waives its right to receive a verification statement in accordance with section 148 of the
  • The Client shall unconditionally ratify any actions taken by ROBUR under clauses 1 to 12.5.
  • Subject to any express provisions to the contrary (including those contained in this clause 10), nothing in these terms and conditions is intended to have the effect of contracting out of any of the provisions of the
  • Only to the extent that the hire of the Equipment exceeds a twelve (12) month Hire Period (or a six (6) month Hire Period with the right of renewal), shall clause 10 apply as a security agreement in the form of a PPS Lease in respect of Section 36 of the PPSA, in all other matters this clause 10 will apply generally for the purposes of the

 

13.           Security and Charge

  • In consideration of ROBUR agreeing to supply the Equipment, the Client charges all of its rights, title and interest (whether joint or several) in any land, realty or other assets capable of being charged, owned by the Client either now or in the future, to secure the performance by the Client of its obligations under these terms and conditions (including, but not limited to, the payment of any money).
  • The Client indemnifies ROBUR from and against all ROBUR’s costs and disbursements including legal costs on a solicitor and own client basis incurred in exercising ROBUR’s rights under this
  • The Client irrevocably appoints ROBUR and each director of ROBUR as the Client’s true and lawful attorney/s to perform all necessary acts to give effect to the provisions of this clause 13 including, but not limited to, signing any document on the Client’s

 

14.            Defects

  • The Client shall inspect the Equipment on Delivery and shall within twenty-four (24) hours notify ROBUR of any alleged defect, shortage in quantity, damage or failure to comply with the description or quote. The Client shall afford ROBUR an opportunity to inspect the Equipment within a reasonable time following Delivery if the Client believes the Equipment is defective in any way. If the Client shall fail to comply with these provisions the Equipment shall be presumed to be free from any defect or damage. For defective Equipment, which ROBUR has agreed in writing that the Client is entitled to reject, ROBUR’s liability is limited to replacing the

 

 

 

15.            Consumer Guarantees Act 1993

  • This Contract is subject to the provisions of the Consumer Guarantees Act 1993 in all cases except where the Client is contracting within the terms of a trade/business (which cases are specifically excluded).

 

16.            Default and Consequences of Default

  • Interest on overdue invoices shall accrue daily from the date when payment becomes due, until the date of payment, at a rate of two and a half percent (2.5%) per calendar month (and at ROBUR’s sole discretion such interest shall compound monthly at such a rate) after as well as before any
  • If the Client owes ROBUR any money the Client shall indemnify ROBUR from and against all costs and disbursements incurred by ROBUR in recovering the debt (including but not limited to internal administration fees, legal costs on a solicitor and own client basis, ROBUR’s collection agency costs, and bank dishonour fees).
  • Further to any other rights or remedies ROBUR may have under this Contract, if the Client has made payment to ROBUR, and the transaction is subsequently reversed, the Client shall be liable for the amount of the reversed transaction, in addition to any further costs incurred by ROBUR under this clause 16 where it can be proven that such reversal is found to be illegal, fraudulent or in contravention to the Client’s obligations under this
  • Without prejudice to ROBUR’s other remedies at law ROBUR shall be entitled to cancel all or any part of any order of the Client which remains unfulfilled and all amounts owing to ROBUR shall, whether or not due for payment, become immediately payable if:
    • any money payable to ROBUR becomes overdue, or in ROBUR’s opinion the Client will be unable to make a payment when it falls due;
    • the Client has exceeded any applicable credit limit provided by ROBUR;
    • the Client becomes insolvent or bankrupt, convenes a meeting with its creditors or proposes or enters into an arrangement with creditors, or makes an assignment for the benefit of its creditors; or
    • a receiver, manager, liquidator (provisional or otherwise) or similar person is appointed in respect of the Client or any asset of the

 

17.            Cancellation

  • Without prejudice to any other remedies ROBUR may have, if at any time the Client is in breach of any obligation (including those relating to payment) under these terms and conditions ROBUR may suspend or terminate the supply of Equipment on hire to the Client. ROBUR will not be liable to the Client for any loss or damage the Client suffers because ROBUR has exercised its rights under this
  • ROBUR may cancel these terms and conditions or cancel Delivery of Equipment at any time before the Equipment is delivered by giving written notice. 18.            Privacy Policy

  • All emails, documents, images or other recorded information held or used by ROBUR is Personal Information as defined and referred to in clause 3 and therefore considered confidential. ROBUR acknowledges its obligation in relation to the handling, use, disclosure and processing of Personal Information pursuant to the Privacy Act 1993 (“the Act”) including Part II of the OECD Guidelines and as set out in Schedule 5A of the Act and any statutory requirements where relevant in a European Economic Area “EEA” under the EU Data Privacy Laws (including the General Data Protection Regulation “GDPR”) (collectively, “EU Data Privacy Laws”). ROBUR acknowledges that in the event it becomes aware of any data breaches and/or disclosure of the Client’s Personal Information, held by ROBUR that may result in serious harm to the Client, ROBUR will notify the Client in accordance with the Act and/or the GDPR. Any release of such Personal Information must be in accordance with the Act and the GDPR (where relevant) and must be approved by the Client by written consent, unless subject to an operation of law.
  • Notwithstanding clause 1, privacy limitations will extend to ROBUR in respect of Cookies where the Client utilises ROBUR’s website to make enquiries. ROBUR agrees to display reference to such Cookies and/or similar tracking technologies, such as pixels and web beacons (if applicable), such technology allows the collection of Personal Information such as the Client’s:
    • IP address, browser, email client type and other similar details;
    • tracking website usage and traffic; and
    • reports are available to ROBUR when ROBUR sends an email to the Client, so ROBUR may collect and review that information (“collectively Personal Information”)

If the Client consents to ROBUR’s use of Cookies on ROBUR’s website and later wishes to withdraw that consent, the Client may manage and control ROBUR’s privacy controls via the Client’s web browser, including removing Cookies by deleting them from the browser history when exiting the site.

  • The Client authorises ROBUR or ROBUR’s agent to:
    • access, collect, retain and use any information about the Client;
      • (including, name, address, D.O.B, occupation, driver’s license details, electronic contact (email, Facebook or Twitter details), medical insurance details or next of kin and other contact information (where applicable), previous credit applications, credit history or any overdue fines balance information held by the Ministry of Justice) for the purpose of assessing the Client’s creditworthiness; or
      • for the purpose of marketing products and services to the
    • disclose information about the Client, whether collected by ROBUR from the Client directly or obtained by ROBUR from any other source, to any other credit provider or any credit reporting agency for the purposes of providing or obtaining a credit reference, debt collection or notifying a default by the
  • Where the Client is an individual the authorities under clause 3 are authorities or consents for the purposes of the Privacy Act 1993.
  • The Client shall have the right to request ROBUR for a copy of the Personal Information about the Client retained by ROBUR and the right to request ROBUR to correct any incorrect Personal Information about the Client held by

 

19.           Service of Notices

  • Any written notice given under this Contract shall be deemed to have been given and received:
    • by handing the notice to the other party, in person;
    • by leaving it at the address of the other party as stated in this Contract;
    • by sending it by registered post to the address of the other party as stated in this Contract;
    • if sent by facsimile transmission to the fax number of the other party as stated in this Contract (if any), on receipt of confirmation of the transmission;
    • if sent by email to the other party’s last known email
  • Any notice that is posted shall be deemed to have been served, unless the contrary is shown, at the time when by the ordinary course of post, the notice would have been

 

20.            Force Majeure

  • Subject to clause 2, neither party shall be responsible for any delays in Delivery or collection due to causes beyond their control (including, but not limited to, acts of God, war, terrorism, pandemic, mobilisation, civil commotion, riots, embargoes, orders or regulations of governments of any relevant jurisdiction, fires, floods, strikes, lockouts or other labour difficulties, shortages of, or inability to obtain shopping space, or land transportation).
  • Nothing in clause 1 will limit or exclude the Client’s responsibility and liability under this contract for Equipment that is lost, stolen or damaged beyond fair wear and tear during the Hire Period, or had broken down, or become unsafe to use as a result of the Client’s conduct or negligence.

 

21.            General

  • The failure by either party to enforce any provision of these terms and conditions shall not be treated as a waiver of that provision, nor shall it affect that party’s right to subsequently enforce that provision. If any provision of these terms and conditions shall be invalid, void, illegal or unenforceable the validity, existence, legality and enforceability of the remaining provisions shall not be affected, prejudiced or

22.            Lease to Own

  • Upon expiry of the Hire Period, provided the Client has made full payment of all monies payable and fulfilled their obligations under this Contract, the Client may enter into a separate agreement to acquire ownership of the Equipment by payment to ROBUR of the specified amount.
